1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your use of the website at leeondigital.com ("Website") and any services provided by Lee-On Digital ("we", "us" or "our"). By accessing the Website or engaging our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must immediately discontinue use of the Website and may not engage our services.
We reserve the right to update these Terms at any time. Changes become effective upon posting to this page. Continued use of the Website after changes are posted constitutes acceptance of the updated Terms.
2. Services
Lee-On Digital provides digital services including but not limited to web development, mobile application development, digital marketing, search engine optimisation (SEO), Google Ads management, Meta Ads management, branding, AI-driven marketing and related consultancy.
The specific scope, deliverables, timeline and cost of services are defined in a written proposal and/or Statement of Work ("SOW") agreed between us and the client prior to commencement of work. These Terms apply alongside any such SOW.
3. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete and timely information, materials, approvals and feedback as reasonably required.
- Ensure you have the rights to use any content, images, trademarks or materials you supply to us.
- Designate a primary point of contact with authority to make decisions on your behalf.
- Pay all invoices by the due dates specified in the proposal or SOW.
- Not use our services for any unlawful, fraudulent or harmful purpose.
4. Payment Terms
Payment terms are specified in the relevant proposal or SOW. Unless otherwise agreed in writing:
- Project work typically requires a 50% deposit upon signing, with the balance due on or before project delivery.
- Monthly retainer services are invoiced monthly in advance.
- Invoices are due within 7 calendar days of issue unless otherwise stated.
- Late payments may attract interest at 2% per month on the outstanding amount.
- We reserve the right to pause or suspend work on any project where invoices are overdue by more than 14 days.
All prices are in Indian Rupees (INR) unless explicitly stated otherwise. Applicable taxes (including GST) will be added to invoices as required by law.
5. Intellectual Property
Upon receipt of full and final payment for a project, we assign to you the intellectual property rights in the custom deliverables created specifically for your project (e.g. custom-designed website, bespoke code, original content).
The following remain the property of Lee-On Digital and are licensed (not assigned) to you for use in your project:
- Our pre-existing tools, frameworks, libraries, workflows and methodologies.
- Third-party components (open-source libraries, licensed stock assets, purchased plugins). These are subject to their respective licences.
- Any materials created as part of a proposal, pitch or discovery session that does not proceed to a paid engagement.
You grant us a non-exclusive licence to display your project in our portfolio and marketing materials unless you specifically request otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes business strategies, financial data, technical specifications, client lists and any information marked as confidential.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Confidentiality obligations survive termination of the engagement for a period of 3 years.
7. Warranties & Disclaimers
We warrant that:
- Services will be performed with reasonable skill, care and diligence.
- Deliverables will materially conform to the agreed specification at the time of delivery.
- We will not knowingly infringe the intellectual property rights of third parties in our work.
The Website and its content are provided "as is" without warranties of any kind beyond those required by law. We do not guarantee specific business outcomes (e.g. a particular number of leads or a specific search ranking), as these depend on factors outside our control.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- Our total liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the 3 months preceding the claim.
- We shall not be liable for any indirect, consequential, special or punitive damages, including loss of profits, loss of data or loss of business, even if we have been advised of the possibility of such damages.
- We are not liable for delays or failures caused by circumstances outside our reasonable control, including internet outages, third-party platform changes, or failure of you to provide required materials on time.
9. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant SOW (typically 30 days notice for retainer services).
Either party may terminate immediately for material breach if the breach is not remedied within 14 days of written notice.
Upon termination:
- You are responsible for fees incurred up to the effective termination date.
- We will deliver all completed work and transfer any relevant assets upon receipt of all outstanding payments.
- Work in progress at termination will be invoiced on a pro-rata basis.
10. Third-Party Services
Our services may involve the use of third-party platforms, tools and APIs (e.g. Google Ads, Meta, Shopify, Razorpay, AWS). We are not responsible for the availability, performance or terms of these third-party services.
Any accounts created on third-party platforms for your project will be owned by you. You are responsible for maintaining access credentials and complying with the terms of those platforms.
Ad spend on Google Ads, Meta Ads and similar platforms is billed directly to your payment method by those platforms and is separate from our management fees.
11. Website Use
You agree not to:
- Use the Website in any way that violates applicable local, national or international law or regulation.
- Transmit any unsolicited or unauthorised advertising or promotional material.
- Attempt to gain unauthorised access to any part of the Website or its related systems.
- Use automated tools to scrape, crawl or data-mine the Website without our express written permission.
- Upload or transmit any viruses or malicious code.
We reserve the right to restrict or terminate access to the Website for any user who violates these Terms.
12. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts located in Bhubaneswar, Odisha, India.
13. General Provisions
Entire agreement — these Terms, together with any applicable SOW or proposal, constitute the entire agreement between the parties and supersede all prior agreements, representations or understandings.
Severability — if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
No waiver — failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
Assignment — you may not assign your rights or obligations under these Terms without our prior written consent.
